1. Definitions

In these Terms: "Nexalink," "we," "us," or "our" refers to Nexalink legal practice. "Client" or "you" refers to individuals or entities engaging our services. "Services" means franchise and distribution law services we provide. "Website" means this website and associated platforms.

2. Acceptance of Terms

By engaging our services or using our website, you agree to these Terms & Conditions. If you disagree with any provision, please do not engage our services. These terms supplement any engagement letter or fee agreement between parties.

3. Service Description

Nexalink provides legal services related to franchise and distribution law in Thailand, including agreement drafting, legal structuring, compliance review, dispute advisory, and representation. Specific services and scope are defined in engagement letters for each matter.

4. Attorney-Client Relationship

An attorney-client relationship forms only upon written engagement letter execution. Initial consultations do not create attorney-client relationships unless explicitly agreed in writing. Unsolicited information sent to us does not establish confidential relationships.

5. Professional Obligations

Our attorneys comply with Lawyers Council of Thailand professional standards and ethical rules. We maintain attorney-client confidentiality as required by Thai law. Conflict checking ensures we provide independent counsel without competing interests.

6. Fees and Payment

Fee structures are specified in engagement letters. Payment terms include invoicing schedules and due dates. Late payments may incur interest as specified in engagement agreements. We reserve rights to suspend services for non-payment after notice.

7. Client Obligations

Clients agree to provide complete, accurate information necessary for matter handling; respond promptly to information requests; comply with legal advice and instructions; and maintain confidentiality of legal strategies and work product.

8. Scope Limitations

Our services are limited to matters specified in engagement letters. We do not provide tax, accounting, or business consulting advice. Clients should seek appropriate professionals for non-legal aspects of franchise and distribution matters.

9. No Outcome Guarantees

Legal services involve inherent uncertainties. We cannot and do not make any representations about specific outcomes. Our obligation is to provide competent professional services, not to achieve particular results.

10. Intellectual Property

Website content including text, graphics, and design are owned by Nexalink or licensed to us. Client work product created in engagements belongs to clients upon full payment. We retain rights to use general legal knowledge and experience gained.

11. Limitation of Liability

To the maximum extent permitted by Thai law, our liability for professional services is limited to fees paid for the specific matter. We are not liable for consequential, indirect, or punitive damages. Nothing limits liability for gross negligence or willful misconduct.

12. Termination

Either party may terminate engagement per terms in engagement letter. Clients remain responsible for fees for work performed through termination date. We retain rights to withdraw from representation if ethical obligations require or client breaches agreement terms.

13. Dispute Resolution

Disputes regarding our services are governed by Thai law. Parties agree to first attempt good faith negotiation. If negotiation fails, disputes will be submitted to arbitration under Thai Arbitration Institute rules before resorting to litigation.

14. Governing Law

These Terms are governed by Thai law. Thai courts have jurisdiction over disputes, except where arbitration is required. Foreign clients acknowledge Thai law governs our professional relationship.

15. Modifications

We may modify these Terms by posting updated versions on our website. Material changes will be communicated to active clients. Continued engagement after changes constitutes acceptance of modified terms.
